POSITION OVERVIEW
In support of the firm’s growth in the US Wealth channel, we are currently seeking to recruit a high-quality US Registered Fund Counsel to join our legal team in the US. This individual will provide legal support, advice and counsel to Wellington Management’s sponsored ’40 Act funds, including interval and tender offer funds. This Counsel will also support the firm’s sub-advised active ETFs, ’40 Act mutual funds, as well the distribution of Wellington Management’s sponsored funds to institutional and HNW investors in the US.

RESPONSIBILITIES

  • Providing legal support and advice across both Wellington Management-sponsored ’40 Act funds and sub-advisory mandates for third-party ’40 Act funds, including strategic legal advice and counsel to senior business leaders.
  • Providing legal advice on the development and launch of new Wellington Management sponsored US registered funds (e.g., interval and tender offer funds, active ETFs, mutual funds and BDCs), including associated legal documentation such as the prospectus and service provider agreements, assistance with the maintenance of legal documents for existing funds and putting in place of fund distribution agreements.
  • Providing legal and regulatory support, as required, to a large, mature ’40 Act sub-advisory business.
  • Work supporting the firm’s own sponsored ’40 Act funds will also include providing legal advice to the Governance team, to the fund’s Board of Trustees, and the funds’ Chief Compliance Officer
  • Providing analysis of applicable regulatory developments, managing external counsel, and counseling business colleagues and across all Wellington ’40 Act accounts.
  • Providing legal advice to the Guideline Monitoring team on the ’40 Act investment restrictions and diversification rules.

QUALIFICATIONS

  • 7-10 years of experience practicing law
  • Good business judgment and strong counseling skills
  • Broad-based ‘40 Act knowledge and experience
  • Experience with interval and tender offer funds structures and strategies preferred
  • Familiarity with the Advisers Act, FINRA and NFA/CFTC rules and regulations
  • Experience at a national law firm or relevant in-house position
  • A pragmatic and risk-aware approach to practicing law, and the ability to prioritize in a fast-paced environment
  • Excellent legal and analytical skills
  • Creativity and ability to work under pressure
  • Ability to represent the firm with external clients, partners and independent Board of Trustees
  • Proven written and verbal communication skills

At Wellington Management, our approach to compensation is designed to help us attract, inspire and retain the best talent in our industry. Our approach to compensation considers all aspects of total compensation; all employees are eligible to receive salary, variable compensation, and benefits. The base salary range for this position is:

USD 100,000 - 225,000

This range takes into account the wide range of factors that are considered when making compensation decisions, including but not limited to skill sets; role; skills and experience; certifications; and education. This range is an estimate, and further details on salary and total compensation aspects will be shared with candidates during the recruitment process.

Base salary is only one component of Wellington’s total compensation approach. Other rewards may include a discretionary Corporate Bonus and/ or Incentives, if eligible.
