Wespath, recognized as a 2017-2024 Chicago’s Best and Brightest Companies to Work For® and a 2018-2024 National Best and Brightest Companies to Work For®, has an opportunity for an Assistant General Counsel – Investments who is responsible for providing legal advice and support to all areas of the organization regarding Wespath’s investment management activities (and related treasury matters), including investment operations, institutional investor services, sustainable investment services, marketing and communications, corporate governance and risk management. This position also manages the legal issues related to regulatory change management and legislative policy monitoring and engagement. This attorney must have the experience and expertise to work independently, with high-level direction from senior management, and to work closely with other attorneys and non-attorney staff.
More specifically, as an Assistant Genera Counsel - Investments you will:
- Provide legal advice and strategic guidance to the Investment Department related to the legal aspects of their investment advisory and investment management functions, including fiduciary duties, regulatory compliance, fund formation and restructuring, fee structures, investments and sub-manager engagements, and related matters arising under the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and other applicable regulations.
- Review, negotiate and draft/revise contracts, policies, procedures, regulatory documents and other documents related to the legal aspects of the functions of the Investment Department and related Treasury Department matters.
- Provide primary support to the Sustainable Investment Services team, including review and advice on ethical investment exclusions, shareholder engagement activities, white papers and other external communications, church governance/legislative matters, and related risk mitigation strategies.
- Support Corporate Secretary function in providing corporate governance support for investment-facing board and committee activities, including fiduciary committee of the board and subsidiary boards engaged in investment management/advisory activities.
- Review, revise and provide strategic and tactical legal advice regarding all marketing, compliance and other forms of written communications to investors, potential investors and others related to our investment management activities.
- Support regulatory change management and implementation, including monitoring legislative policy developments and engagement with ecumenical partners regarding legislative advocacy efforts.
- Partner with the Compliance function to support investment compliance activities, including investor eligibility vetting, development and guidance on policies and procedures, advising on remediation plans and conducting training to address compliance and internal audit findings, and supporting risk management efforts.
- Analyze legal risks, opportunities and options, and implement changes as appropriate related to the organization’s goals, mission, and existing circumstances and how those may affect the overall legal structure of the investment management business and larger organizational structure.
- Provide legal advice related to, review, negotiate and draft/revise contracts for other functional areas as needed.
Assistant General Counsel - Investments Compensation and Benefits:

- The compensation range for this position is $200,000 - $220,000 with a bonus opportunity and customary benefits. Final compensation will be set based on the hired applicant’s qualifications (education, training, and/or experience related to this role), and as such, may fall outside the range shown.

Minimum Requirements/Qualifications:
- Law degree and admission to Illinois bar.
- Five to ten years of experience practicing law in investment management and investment advisory services.
- Knowledge of securities law (including facility with the Investment Company Act of 1940 and Investment Advisers Act of 1940), investment management, investment transactions, financial markets, and corporate law.
- Willingness to travel occasionally (3-5 times per year) for various committee meetings and conferences.
Preferred Qualifications:
- Experience with tax-exempt organizations generally and related tax matters (such as unrelated business income tax).
- Experience with exemptions from registration under the Investment Company Act of 1940 and Investment Advisers Act of 1940.
- Experience with sustainable investing.
